Terms of Service

1. Services Overview

Luks Ventures provides go-to-market strategy and execution services ("GTM Factory") to help B2B startups scale. Our services include strategy development, sales optimization, and growth consulting.

2. Client Agreements

• Detailed services will be specified in individual Service Agreements
• Any timelines or milestones are estimates unless explicitly stated otherwise
• We reserve the right to adjust our methodology based on client needs
• Results may vary and are not guaranteed

3. Confidentiality

• We maintain strict confidentiality of all client information
• Client data is only used to provide our services
• Non-disclosure agreements may be required for specific engagements
• We respect all intellectual property rights

4. Payment Terms

• Fees are specified in individual Service Agreements
• Payment terms are net 10 days unless otherwise specified
• Late payments may result in service suspension
• All fees are non-refundable unless otherwise stated

5. Client Responsibilities

Clients agree to:

• Provide accurate information
• Respond to requests in a timely manner
• Maintain professional communication
• Use our services in compliance with applicable laws

6. Intellectual Property

• We retain ownership of our methodologies and frameworks
• Clients retain ownership of their pre-existing IP
• Deliverables ownership will be specified in Service Agreements

7. Limitation of Liability

• Our services are advisory in nature
• We are not liable for business outcomes
• Maximum liability is limited to fees paid
• We do not guarantee specific results

8. Term and Termination

• Either party may terminate with 30 days written notice
• We may terminate immediately for breach of terms
• All fees due are payable upon termination
• Confidentiality obligations survive termination

9. Indemnification

Clients agree to indemnify Luks Ventures against claims arising from:

• Breach of these terms
• Violation of laws
• Misuse of services

10. Governing Law

These terms are governed by the laws of Israel. Any disputes will be resolved in Tel Aviv courts.

11. Changes to Terms

We may update these terms with notice. Continued use of services constitutes acceptance.
